2. Our Relationship with Paddle (Merchant of Record)

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle acts as the legal seller of our services and handles all customer service inquiries and returns related to payments. When you purchase a service, your transaction is with Paddle.com, which is responsible for tax collection, payment security, and compliance.

3. Description of Services and Delivery

Vertex provides managed IT support, cloud infrastructure, and hosting services. All products are delivered digitally and instantaneously. Upon a successful payment transaction via Paddle, our automated provisioning system (WHMCS) immediately sets up your service, and login credentials are dispatched to your registered email address without delay.

4. Use of the Website and Services

You may use our website only for lawful purposes. You are responsible for maintaining the confidentiality of your account credentials. Content on our website (text, graphics, logos) is owned by Vertex and protected by international intellectual property laws.

5. Payment and Billing

Fees for services are as set forth on our pricing page or applicable order form. Payments are processed securely by Paddle.com. We reserve the right to suspend or terminate services for non-payment. Unless otherwise agreed in writing, fees are non-refundable except as specifically set out in our Refund Policy.

6. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may modify or discontinue any part of our services where necessary for maintenance or security.

7. Limitation of Liability

To the maximum extent permitted by law, Vertex Digital Systems LLC shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data). Our total liability shall not exceed the amount paid by you to Vertex in the twelve (12) months preceding the claim.

8. Governing Law

These Terms and any dispute arising from them shall be governed by the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles. Any legal action shall be brought exclusively in the courts located in Wyoming.
